These Terms of Service (“Terms”) govern your access to and use of the website, online reservation system, SMS messaging program, and related services (collectively, the “Service”) provided by WareSpace, LLC (“WareSpace,” “we,” “us,” or “our”), located at 5950 Symphony Woods Road, Suite 600, Columbia, MD 21044.

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally able to enter into binding contracts to use the Service. By using the Service, you represent that you meet these requirements. If you are using the Service on behalf of a business or other entity, you represent that you are authorized to bind that entity to these Terms.

2. Description of the Service

WareSpace provides:

A website with information about our small warehouse and flex space rental locations
Online tools to book tours, submit inquiries, reserve space, and make payments
An SMS messaging program for tour confirmations, reservation updates, and related communications
A tenant portal for active customers

The Service is for general informational, marketing, and transactional purposes. The Service is not itself a lease. Renting space at a WareSpace location is governed by a separate written lease or rental agreement between you and WareSpace (or its applicable affiliate).

3. Accounts

Some features of the Service may require you to create an account. You agree to:

Provide accurate, current, and complete information
Keep your account credentials confidential
Notify us immediately of any unauthorized use of your account
Accept responsibility for all activity that occurs under your account

We may suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for unauthorized purposes.

4. Tours, Reservations, and Payments

Tours

Tour bookings made through the Service are subject to availability and confirmation by WareSpace. We may reschedule or cancel tours at our discretion.

Reservations and Deposits

If you submit a reservation or pay a deposit through the Service, the reservation is contingent on completion of a separate lease or rental agreement, satisfactory review of any application materials, and availability of the space. Deposits and reservation payments are governed by the terms presented to you at checkout and by any separate written agreement.

Payment Processing

Payments are processed by third-party payment processors (such as Stripe). By submitting payment, you authorize us and our payment processors to charge the payment method you provide for the amounts indicated. You are responsible for ensuring that the payment information you provide is accurate.

Refunds

Refund eligibility is governed by the terms of the specific transaction and any applicable lease or rental agreement. We will communicate refund decisions in writing.

5. SMS Messaging and Consent

WareSpace operates an SMS messaging program for tour confirmations, reservation and payment updates, account notifications, customer service responses, and occasional promotional messages.

How You Provide Consent

By submitting a form on warespace.com that collects your phone number — including (but not limited to) our Book-a-Tour, reservation, contact, and newsletter forms — and where a consent disclosure is presented at or near the submit action, you agree to receive calls, text messages, and emails from WareSpace at the number and email address provided.

You may also provide consent by texting WareSpace first, or by giving your number to a WareSpace team member in person, by phone, or by email and agreeing to receive SMS messages. Consent is never a condition of purchasing or renting space from WareSpace.

Program Details

Message frequency varies based on your interactions with us. Message and data rates may apply depending on your mobile carrier and plan. Carriers are not liable for delayed or undelivered messages.

Opting Out

You can opt out at any time by replying STOP to any SMS message you receive from us. Reply HELP for help, or contact us using the information at the bottom of these Terms.

Additional details about how we handle your mobile information are described in the SMS Messaging Program section of our Privacy Policy, including our commitment that mobile phone numbers and SMS opt-in consent are never shared with third parties or affiliates for marketing or promotional purposes.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law
Misrepresent your identity or affiliation
Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure
Use automated systems (bots, scrapers, etc.) to access the Service without our written permission
Upload or transmit viruses, malware, or other harmful code
Use the Service to harass, abuse, or harm another person
Use any WareSpace location, equipment, or service for an illegal purpose or in a manner that violates the lease or rental agreement

We reserve the right to investigate and take appropriate action against anyone who violates these Terms.

7. User Content

If you submit reviews, testimonials, photos, inquiries, or other content to the Service (“User Content”), you grant WareSpace a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, publish, and display that content in connection with the Service and our marketing. You represent that you own or have the rights to submit the content and that it does not infringe on any third party’s rights.

We may remove User Content at our discretion.

8. Refer-a-Friend Program

If you participate in our Refer-a-Friend program, you agree that:

You will only refer people who have given you permission to share their contact information
You will not spam, send unsolicited messages, or misrepresent WareSpace
Referral rewards are subject to the specific terms of the promotion in effect at the time
We may modify or terminate the program at any time

9. Intellectual Property

The Service, including its content, design, logos, trademarks, and software, is owned by WareSpace or its licensors and is protected by U.S. and international intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from any part of the Service without our prior written consent, except as expressly permitted by these Terms.

“WareSpace” and related logos are trademarks of WareSpace, LLC.

10. Third-Party Services and Links

The Service may contain links to or integrations with third-party websites and services (such as payment processors, mapping providers, and analytics tools). We do not control and are not responsible for third-party services. Your use of any third-party service is at your own risk and subject to that third party’s terms and privacy policies.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY INFORMATION ON THE SERVICE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WARESPACE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO WARESPACE THROUGH THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Nothing in these Terms limits liability for matters that cannot be limited under applicable law. This Section does not limit or modify any liability or obligations under a separate written lease or rental agreement.

13. Indemnification

You agree to defend, indemnify, and hold harmless WareSpace and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any law or the rights of a third party, or (d) any User Content you submit.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Maryland, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be brought exclusively in the state or federal courts located in Howard County, Maryland, and you consent to the jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page and update the “Last updated” date. Material changes may also be communicated by email or prominent notice on the Service. Your continued use of the Service after changes become effective constitutes acceptance.

17. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy and any separate written agreement between you and WareSpace (such as a lease or rental agreement), constitute the entire agreement between you and WareSpace regarding the Service.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
No Waiver. Our failure to enforce any provision of these Terms will not be considered a waiver of that provision.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms at our discretion.
